SpeechStep Referral Partner Terms

1. Parties and acceptance

These terms are between you (a professional with an active SpeechStep Pro account who opts in to the partnership, the “Partner”) and [contracting entity — to be confirmed by counsel](“SpeechStep”). You accept them by opting in; we record the version you accepted (this draft: draft-2026-09-23) and when.

2. Definitions

• Family — a SpeechStep consumer account holder (a parent or guardian) and the children on that account.
• Referral — SpeechStep’s record that links a Family to a Partner, created by one of the Referral Events in section 3, with a source of invitation, connection, link or code, and a status.
• Attributed Family — a Family whose Referral to you is active and eligible under section 3.
• Partner Link and Partner Code — the web address and short code SpeechStep issues to you for referring Families generally.
• Invitation — an invitation you create in SpeechStep Pro for a specific family you work with, delivered as a link, QR code or invite code.
• Charge — a successful payment by an Attributed Family for a SpeechStep Premium subscription (monthly or annual) or a lifetime purchase, on the web or through an app store.
• Eligible Subscription Revenue — for each Charge, the amount actually charged to and collected from the Attributed Family for that Charge, calculated as follows:
  1. Taxes excluded. Sales tax, VAT, GST and similar taxes collected, remitted or withheld on the Charge are excluded.
  2. Discounts and promotions. The amount actually charged after any discount, coupon, promotion or introductory price is used — not the list price.
  3. Refunds, chargebacks and disputes. A Charge that is refunded, charged back or lost in a payment dispute produces no Eligible Subscription Revenue, and a partial refund reduces it by the refunded amount (see section 5 for reversals).
  4. Fees not deducted. Payment-processing fees, merchant-of-record fees and app-store commissions are not deducted; SpeechStep bears them. For an app-store purchase, the amount is the price excluding tax as reported by the store.
  5. Free trials. A free trial is not a Charge. Revenue arises only when a paid Charge succeeds.
  6. Plan changes. Each Charge counts on the amount actually charged. Where a plan change produces a prorated charge or credit, the net amount actually charged is used.
  7. Lifetime purchases. A lifetime purchase is a single Charge and earns the one-time lifetime rate in section 4.
  8. Currency. The partner ledger is kept in US dollars. A Charge made in another currency is converted to US dollars at [the rate reported by the payment processor for that Charge — counsel/finance to confirm].
• Commission — the amount earned on a Charge under section 4.

3. Attribution: the clinical relationship takes precedence

3.1 Referral Events

A Referral is recorded, with a server timestamp, when one of these happens:

1. a Family accepts your Invitation (source: invitation);
2. a Family connects you as their professional from their own account (source: connection);
3. a visitor opens your Partner Link and creates a SpeechStep account within 30 days (source: link); or
4. a Family enters your Partner Code at sign-up or checkout (source: code).

Where more than one could apply, they rank in this order: invitation, then partner link, then partner code.

3.2 Precedence rules

1. Connected elsewhere. If a Family is already connected to another professional (“Partner A”), Partner A holds the attribution. A Partner Link or Partner Code from any other Partner does not attribute that Family, and the resulting Referral is recorded as ineligible (connected elsewhere).
2. Invitation. If you invite a Family, the Family is attributed to you.
3. Families who come on their own. A Family that found SpeechStep and subscribed without a Referral Event attributing it to a Partner earns no Commission for anyone.
4. No silent transfer. If an Attributed Family later connects a different professional, the existing attribution is never transferred.
5. Before the attribution locks, a clinical Referral (invitation or connection) takes precedence over an earlier generic Referral (link or code), which is kept on record as superseded. Between two Referrals of the same rank, the earlier one stands.
6. Locking. Attribution locks at the Family’s first successful paid Charge, and does not change after that.

3.3 Ineligible Referrals

A Referral earns no Commission, and is kept on record with the reason, where:

• the Family already held an active SpeechStep Premium entitlement when the Referral was made (existing subscriber);
• the Family is you, your household, or uses your payment identity (self-referral);
• it duplicates a Referral already recorded (duplicate); or
• it is connected elsewhere under rule 3.2(1).

3.4 How attribution is determined

Attribution is decided by SpeechStep’s server-side records, never by information held only in a browser or app. Cookies are used only to carry a Referral identifier between those records. If an Attributed Family later buys through an app store instead of the web, the attribution stays. SpeechStep’s records are [conclusive absent manifest error — counsel to confirm], and you may ask us to review any Referral you believe is wrong within [60] days of the relevant Charge.

4. Commission

• Subscriptions: 25% of the Eligible Subscription Revenue from each Charge by an Attributed Family, including renewals, for as long as that Family stays subscribed and the attribution remains in place.
• Lifetime purchases: a one-time 12.5% of the Eligible Subscription Revenue of the lifetime Charge. [Lifetime purchases are not offered through a Partner’s invitation checkout; this rate applies where an Attributed Family buys lifetime elsewhere.]
• Commission is calculated per Charge and rounded to the nearest cent.

Commission is never shown to a Family at checkout, and never depends on which plan a Family chooses beyond the rates above.

5. Commission lifecycle

1. Pending — when the Charge succeeds.
2. Eligible — 30 days after the Charge, if it has not been refunded, charged back or disputed.
3. Payable — at the end of a calendar month, if your total eligible balance is at least $25 and your payout details (section 6) are verified. A smaller balance carries forward.
4. Paid — when the payout transfer is recorded as completed.
5. Reversed — if the Charge is refunded (in full or part), charged back or lost in a dispute. A reversal of a Commission not yet paid removes it. A reversal of a Commission already paid is a clawback: it is recorded as a negative amount and netted against your next payouts. A negative balance may carry forward; [counsel: whether and when SpeechStep may request repayment of an unrecovered negative balance, e.g. on termination].

A failed renewal or a cancellation without a refund creates no new Commission and does not change existing ones.

6. Payouts and tax

• Monthly, through Wise. Payable balances are paid monthly by Wise transfer to the recipient account you give us. The ledger is in US dollars; Wise converts to your currency at payout, SpeechStep bears the Wise fees and the conversion cost, and we record the rate used.
• Payout details. Bank and recipient details and tax forms are collected through a secure form we send you, not on the SpeechStep website. Nothing becomes payable until they are complete and verified.
• Tax. You are responsible for tax on your Commission. SpeechStep may require a tax form before paying (for example a W-9 for US persons, with a 1099-NEC issued where required; an invoice profile in India), and may withhold tax where the law requires. [Tax advisor to confirm US, India (TDS/GST) and other jurisdictions before the first payout.]
• Statements. Your partner dashboard shows each Referral by an identifier, its source, plan, amount and status. It never shows a child’s or family’s name beside an amount.

7. Disclosure to families

Families are told before subscribing when a professional who referred them may receive a referral payment — on the invitation, the QR-code landing page, the Partner Link page and at code entry alike. SpeechStep shows this disclosure in its own product, currently worded:

“Your SLP invited you to SpeechStep and may receive a referral payment if you subscribe through their invitation. This does not affect their professional independence or your care choices.”

You agree that you will:

• not remove, obscure or contradict that disclosure, or discourage a Family from reading it;
• make any further disclosure of your financial interest that your professional code of conduct, employer or the law requires, in the form it requires; and
• answer honestly if a Family asks whether you receive a payment.

8. Prohibited referral practices

You must not:

• offer inducements to Families — for example cash, gifts, a share of your Commission, or a discount on your own fees conditional on subscribing;
• refer yourself — your own account, household or payment identity — or arrange for others to subscribe to generate Commission;
• make misleading claims — about SpeechStep’s features, results, prices or trials; that SpeechStep diagnoses or treats; that it replaces therapy; or that SpeechStep employs, endorses or certifies you;
• send spam — unsolicited bulk messages, or messages that breach anti-spam or marketing law — or post your Partner Link or Code on coupon or cashback sites;
• bid on SpeechStep’s name or trademarks in paid search, or impersonate SpeechStep; [counsel to confirm]
• pressure a Family to subscribe, to pick a plan, or to keep subscribing, or make your clinical care conditional on it;
• use a Partner Link or Code to take a Family already connected to another professional.

Commission arising from a breach of this section is not payable, and SpeechStep may reverse it and suspend or end your participation.

9. Independence of clinical judgement

Your clinical judgement stays yours. You are free to recommend whatever suits your client, including not using SpeechStep. Nothing in these terms requires you to recommend SpeechStep, and no Commission depends on any clinical decision. Where your professional duties to a client conflict with anything in these terms, your professional duties come first.

10. Relationship

You take part as an independent professional. These terms do not make you SpeechStep’s employee, agent, partner in law or representative, and you may not bind SpeechStep or speak on its behalf. [Counsel: independent contractor language per jurisdiction.]

11. Changes to these terms

We may change these terms, including the rates. We will give you at least [30] days’ notice of a material change by email and in SpeechStep Pro. A change to the rate applies only to Charges made after it takes effect. If you do not accept a change, you may leave the programme before it takes effect. Each version has an identifier (this draft: draft-2026-09-23).

12. Termination

• You may leave the programme at any time from your SpeechStep Pro settings. Your Pro account continues.
• SpeechStep may end the programme, or your participation, with [30] days’ notice, or immediately for a breach of sections 7 or 8, loss of eligibility under the Professional Terms, or where the law requires.
• After termination, no new Referrals are attributed to you. [Counsel: whether Commission continues on renewals by Families attributed before termination, and for how long.] Commission on Charges made before termination continues through the lifecycle in section 5 and is paid if it becomes payable, unless termination was for a breach of section 8.

13. Liability
